SEO Service Agreement

This SEO Service Agreement (“Agreement”) is entered into as of date Subscription is activated by and between Austin Marketing Agency (“AMA” or the “Agency”) and the “Client”.

1. Scope of Services:

Austin Marketing Agency agrees to provide SEO services as described in the description of Subscription. 

2. Duration and Change of Package:

This Agreement shall be effective for 12 months beginning from date Subscription is activated, unless otherwise terminated in accordance with the provisions of this Agreement. Client may change package at any time during contract term, but AMA recommends waiting for at least 4 to 6 months once contract commences. Details can be discussed during monthly strategy meeting.

3. Payment Terms:

All fees are non-refundable. Payments shall be processed automatically through Stripe once Subscription is activated.

4. Communication:

The primary mode of communication between AMA and the Client will be via email. The parties shall conduct monthly strategy meetings to discuss progress and any updates.

5. Confidentiality:

All fees, services, documents, recommendations, and reports are confidential. Neither party shall disclose any confidential information to third parties without the written consent of the other party.

6. Service Limitations:

  • AMA has no control over search engine policies. The Client’s website may be excluded from any directory or search engine at their sole discretion.
  • While AMA is responsible for implementing SEO strategies, due to various external factors, no guarantee is made regarding specific rankings, but we will try our hardest to rank your website on the first page of search engines for our targeted keywords.
  • Issues arising from the “Google Sandbox” penalties, or formerly existing penalties are outside of AMA’s liability. We will do everything within our power to remedy this situation should it arise.
  • AMA isn’t responsible for changes made by others to the Client’s website that affect rankings or for the Client overwriting AMA’s work. Overwritten work may incur extra charges.

7. Client’s Responsibilities:

  • The Client will avoid linking to “bad neighborhoods” or obtaining links from “link farms” without AMA’s consultation.
  • Any content provided by the Client for the website should either be owned by the Client or used with proper permissions. The Client agrees to indemnify AMA from any liabilities arising from the use of such content.

8. Force Majeure:

Neither party will be held liable for a delay in performing its obligations if such delay is caused by circumstances beyond its reasonable control, including natural disasters, wars, or pandemics.

9. Governing Law:

This Agreement shall be governed by the laws of Texas, United States.

10. Amendments:

Any changes or modifications to this Agreement must be in writing and signed by both parties.

11. Assignment:

Neither party may assign its rights or responsibilities under this Agreement without the written consent of the other party.

12. Termination:

Either party may terminate this Agreement with [e.g., 30 days] written email notice. AMA must acknowledge receipt.

13. Entire Agreement:

This document, along with any exhibits or attachments, represents the entire agreement between the parties and supersedes any prior oral or written agreements or understandings.
